Merchant Agreement

Effective Date: May 10, 2026

This Merchant Agreement (“Agreement”) is entered into between Taro Enterprises (“Company,” “we,” “our,” or “us”) and the merchant, business, or individual (“Merchant,” “you,” or “your”) using our payment processing services.

By applying for, accessing, or using any services provided by Taro Enterprises, you agree to the terms outlined in this Agreement.


1. Services Provided

Taro Enterprises provides payment-related business services, including but not limited to:

  • Credit and debit card processing
  • Point-of-sale systems
  • Virtual terminals
  • Online payment solutions
  • ACH and electronic payment services
  • Payment hardware and terminals
  • Software integrations and related business tools

Services may be provided directly or through third-party banking institutions, processors, and financial partners.


2. Merchant Eligibility

To use our services, you must:

  • Operate a lawful business
  • Provide accurate and complete information
  • Maintain all required licenses and permits
  • Comply with all applicable laws, card network rules, and financial regulations

We reserve the right to approve, deny, suspend, or terminate any merchant account at our sole discretion.


3. Merchant Responsibilities

The Merchant agrees to:

  • Process only lawful and authorized transactions
  • Maintain accurate transaction records
  • Prevent fraudulent or unauthorized activity
  • Protect customer information and payment data
  • Immediately notify us of suspicious activity or security incidents
  • Comply with PCI DSS requirements and applicable payment industry standards

The Merchant is fully responsible for all transactions processed under its account.


4. Fees and Charges

Merchant agrees to pay all applicable fees associated with the services provided, including but not limited to:

  • Payment processing fees
  • Monthly service fees
  • Gateway or software fees
  • Equipment and terminal fees
  • Chargeback and dispute fees
  • ACH return fees
  • Additional service or compliance fees

Fees may be deducted directly from settlements or charged through authorized payment methods.

Taro Enterprises reserves the right to modify pricing or fees with reasonable notice.


5. Funding and Settlement

Approved transaction funds are generally deposited according to the processing schedule established during onboarding.

Settlement times may vary due to:

  • Banking delays
  • Fraud reviews
  • Chargebacks
  • Risk monitoring
  • Holidays or processing interruptions

Taro Enterprises does not guarantee specific funding timelines.


6. Chargebacks and Disputes

The Merchant is fully responsible for all chargebacks, retrieval requests, disputes, fines, penalties, and related costs associated with transactions processed through the account.

We reserve the right to:

  • Debit merchant accounts for chargebacks or fees
  • Hold reserves when necessary
  • Delay settlements during investigations
  • Request documentation related to disputed transactions

Excessive chargebacks may result in account suspension or termination.


7. Prohibited Businesses and Activities

Merchant may not use the services for:

  • Illegal products or services
  • Fraudulent or deceptive practices
  • Money laundering activities
  • Unauthorized resale of services
  • Restricted or prohibited industries determined by banking or card network rules

We reserve the right to immediately terminate accounts engaged in prohibited activity.


8. Equipment and Software

Any equipment, software, or terminals provided remain subject to the terms established during purchase, rental, lease, or subscription.

The Merchant agrees:

  • To use equipment properly
  • Not to tamper with security features
  • To return leased equipment when required
  • To remain responsible for damaged or unreturned equipment

9. Data Security and Compliance

Merchant agrees to maintain commercially reasonable security practices and comply with:

  • PCI DSS standards
  • Applicable privacy laws
  • Card network operating regulations

Merchant is responsible for maintaining the confidentiality and security of customer payment information.


10. Account Monitoring and Risk Review

Taro Enterprises may monitor account activity for:

  • Fraud prevention
  • Compliance verification
  • Risk management
  • Regulatory obligations

We may request additional documents, identification, banking verification, or transaction information at any time.

Failure to provide requested information may result in delayed funding, account suspension, or termination.


11. Limitation of Liability

To the maximum extent permitted by law, Taro Enterprises shall not be liable for:

  • Indirect or consequential damages
  • Lost revenue or profits
  • Delayed settlements
  • Processor or banking interruptions
  • Unauthorized third-party actions
  • Data breaches outside our reasonable control

Our total liability shall not exceed the fees paid by the Merchant during the previous three months.


12. Indemnification

Merchant agrees to indemnify and hold harmless Taro Enterprises, its affiliates, partners, processors, and employees from claims, liabilities, losses, damages, penalties, costs, and expenses arising from:

  • Merchant’s business operations
  • Merchant’s transactions
  • Violations of laws or regulations
  • Breach of this Agreement

13. Termination

Either party may terminate this Agreement subject to any separate written equipment, subscription, or processing commitments.

Taro Enterprises may immediately suspend or terminate services if:

  • Fraud or excessive risk is detected
  • Merchant violates this Agreement
  • Required documentation is not provided
  • Processing partners require termination

Termination does not remove outstanding payment obligations, chargebacks, fees, or liabilities.


14. Governing Law

This Agreement shall be governed by the applicable laws of the jurisdiction in which Taro Enterprises operates, without regard to conflict of law principles.


15. Modifications

Taro Enterprises reserves the right to update or modify this Agreement at any time. Updated versions will be posted on our website and become effective upon posting unless otherwise stated.

Continued use of services after modifications constitutes acceptance of the updated Agreement.
